Preamble:

Kartel is an exclusive fellowship of individuals who form an extremely well organized Mercenary Republic that may be employed to attain a given result. Kartel is sometimes known as advocates, mercenaries, intelligence, bounty hunters, protectors, and some even call us soldiers of fortune. When all is said and done, we as an organization just prefer to be known as Kartel.


Article I: Definition and explanation of Kartel and this Charter.

Section 1:All activities of Kartel are governed by the rules contained in this Charter. No action taken by Kartel may contravene any governance commanded by this Charter. Any actions not explicitly regulated by this Charter are governed by the Oral Charter, or if not explicitly regulated by the Oral Charter are held by the Kartel Proconsulship and The Imperator as they see fit.

Section 2: Kartel is an organization is available for contract to protect, serve, destroy, or anything else that might be proposed or serve the interest or Kartel.  

Section 3: A contract with Kartel is defined as any agreement established by a group or an individual with Kartel as an entire organization as deemed by either a majority of the Proconsulate members of Kartel, and/or The Imperator.  

Section 4: Kartel transcends any and all other groups, guilds, and organizations in which it’s members may or may not be involved.  

Section 5: Kartel ascribes to a philosophy that supercedes good and evil and accepts members who may or may not subscribe to a path of good or evil.  

Section 6: Kartel may also be called The Kartel, Kartel of Shadowbane, or The Kartel of Shadowbane.  

Section 7: The official Kartel motto is “Defendo Servo et Subvertio”, which simply translated from Latin is “To Protect, To Serve, and To Destroy”.  


Article II: Membership  

Section 1: There exist four levels of Kartel membership: Praetorship, Consulship, Proconsulship, and The Imperator.  

Clause A: The Imperator is alone at the pinnacle of the membership structure.  The Imperator holds any and all rights to the organization and any contract issued by The Imperator shall be resolutely upheld by all members of Kartel. This charter is composed and upheld by The Imperator.  The Imperator may appoint heads of departments within Kartel to members of the High Council.  

Clause B: Proconsular members are those held in great esteem and trust by The Imperator himself.  In order to attain membership into the Proconsulship, a prospective person must be sponsored by a current Proconsular member and know their sponsor in real life and must be approved by The Imperator himself.Each real life individual is limited to only one in game character in the Proconsulship at any given time.In the event of a resignation from the Proconsulship, a replacement may be voted in as described in Article IV, Section 1.  Any Proconsular member who sponsors another is held accountable for his subject.  The Proconsulship may offer amendments to the legislation.Once a member of the Proconsulship, an individual remains a Proconsular member until they die, resign, or are expelled before they die in which case death has no bearing.  

Clause C: Consular members are those individuals who are held as trustworthy allies and may or may not belong to mutually beneficial organizations to Kartel.  Any given organization which holds significant enough contract[s] with Kartel may become a Consulship of Kartel at the approval of the Proconsulate and/or The Imperator. A Consular member may also be appointed to direct divisions of Praetorial members.  

Clause D: Praetorial members are those deemed by the Proconsulate and The Imperator to be worthy of some special privileges of Kartel usually only allotted to Proconsular members.Praetorial membership may be given to those who meet every criterion to become a Proconsular member except knowing a Proconsular member in real life.  All responsibilities apply to Praetorial membership, as does Proconsulship; however, Praetorial members need not be present for contract negotiation within Kartel and cannot offer changes to the Charter.  

Section 2: The Proconsulate is the governing body of Kartel. Any and all Kartel activity is organized and run by the Proconsulate and/or The Imperator, unless delegated to Praetorial or Consular members, in which case all decisions of those individuals involve must be approved by the Proconsulate.

Section 3: Proconsular members are entitled to:  Visit and store any goods at any and all of Kartel's Strongholds or shelters even if not in residence there, Vote in all Proconsulate votes, and to propose legislation to The Imperator.

Section 4: A member of the Proconsulship or Praetorship may be removed from their position only if all other current members of the Proconsulate vote to expel the said person.Consular member’s expulsion requires a majority of Proconsular votes and/or The Imperator’s disapproval and/or distrust.

Section 5: An appeal and approval by The Imperator is the only method for a once expelled member to regain status.         

Section 6: The Imperator retains the privilege of appointing duties and additional titles to those members who desire or require said qualities.  


Article III: Solidarity.

Section 1: Any and all Kartel contracts and decrees of The Imperator shall be upheld by all members of Kartel.

Section 2: Any member who harms, defaces, defiles, or tarnishes the name of The Kartel to the world of Shadowbane is subject to severe punishment for treason.

Section 3: No member of Kartel shall harm another member of Kartel in the field of battle unless the latter member’s deeds or words apply to Article III, Section 2.

Section 4: Any member even suspected of stealing from another member of Kartel given reasonable evidence is subject to immediate severe punishment and dismissal from The Kartel by the highest-ranking active commander as purported in Article II, Section 6 as that commander sees fit.

Section 5: Kartel members are allowed to harm one another in activities including but not limited to: sparring, dueling, various tournaments, and other acts that can involve death under the stipulation that before commencement all involved participants have prior knowledge of said activities.


Article IV: Voting.

Section 1: All votes taken by the Proconsulate must pass by a two-thirds majority and/or approval by The Imperator, save for amending the Charter and the expulsion of a Proconsular member.

Section 2: Any member of the Proconsulate can propose a vote of the Proconsulate. Proconsulate members need not vote all at the same time, but all votes must be cast within seven days of the first vote to be cast. If two thirds of all Proconsulate members have not voted in the affirmative to proposed legislation within seven days of the first vote the proposed legislation fails.

Section 3: A contract, activity, or endorsement cannot be said to be a Kartel contract, activity, or endorsement if it has not been approved by at least two thirds of all Proconsulate members and/or The Imperator.

Section 4: This Charter can be amended only with a three quarter majority of all Proconsulate members and/or approval by The Imperator except for Article II, Sections 4 and 5; and Article IV, Section 4 in which in no cases may be amended.

Section 5: Only a unanimous vote with no abstains by all Proconsular members may overturn a decree or contract issued by The Imperator.  The same manner of unanimous vote is required to usurp the Imperator; upon a successful removal of the Imperator, the next in command as described in Article II, shall temporarily rule until a new Imperator is appointed after another aforementioned unanimous vote.


Article V: Contracts

Section 1: An official Kartel Contract is an agreement between Kartel and a[n] individual[s] and/or organization[s] that has passed voting measures written in Article IV, Section 1.

Section 2: All Kartel members support all official Kartel contracts.

Section 3: Kartel members may hold their own personal contracts outside of the realm of Kartel, under the condition said contracts do not in any way put Kartel at significant risk or in jeopardy.

Section 4: Conditions which void a contract with Kartel can be:  Failure of the other party to meet criterion explained in a given contract with Kartel; A vote to void a contract by ľ majority vote of the Proconsulate and approval of The Imperator.


Article VI: Ratification

This charter is made official upon publication.
